Terms & Conditions
1. Services and Products. Unless otherwise agreed by The GrantEd Group, the terms of this document will apply to all Services and Products that its clients, customers, vendors, students, and other Site users (“Users”) requests The GrantEd Group to provide and The GrantEd Group agrees to provide.
2. Use of Site. The GrantEd Group provides various materials, information, questions, examples, and other information on this and related sites and in guides and courses offered through this site (the “Materials”). The Materials may not be downloaded from the Site by the User without the express written permission of The GrantEd Group. Users may make no modifications to the Materials. The GrantEd Group retains all copyright and other proprietary notices contained in the original Materials on any copies of the Materials. Users may not modify the Materials at this Site in any way or reproduce, share or distribute them. Users will keep all Materials confidential, and will not sell, auction, loan, rent, give away, describe, summarise, or otherwise reveal the Materials or their contents, to any other person or entity. Any breach of these Terms of Use automatically terminates your authorised use of the Site.
3.The Site. The GrantEd Group maintains this website, any guides and courses offered and other linked and related sites (the “Site”) for the use of its clients, customers, vendors, students, and other Site users (“Users”) upon agreement to the following terms. Please read the terms carefully before using the Site. Use of this website indicates acceptance of these “Terms and Conditions” and forms a binding agreement between you and The GrantEd Group. If you do not agree to these terms, do not use this Site.
4. Non-exclusivity. This is a non-exclusive Agreement. The User understands and acknowledges that The GrantEd Group shall be free to engage other Users in any services and products agreement.
5. Capacity to Sign. Each party represents that it has the legal authority to enter into an Agreement, and that the entering into such Agreement will not violate the terms of other contractual arrangements.
6. Privacy. The User and The GrantEd Group will comply with all applicable obligations under Privacy Law in respect of the Services.
7. Developed IP. Unless The GrantEd Group agrees otherwise in writing, as between the User and The GrantEd Group all rights in all Developed IP are owned by The GrantEd Group.
8. Licence of Developed IP and The GrantEd Group IP. Subject to clause 3 and to payment of the applicable fees for the relevant Services, The GrantEd Group grants the User a non-exclusive, perpetual, royalty free licence to use the Developed IP and the The GrantEd Group IP in the course of the User’s business solely for the purposes for which it was developed or provided to the Client, and subject to any express restrictions imposed by The GrantEd Group.
9. Restrictions. GrantEd Guides may be used for a period of twelve months. Online course access will be made available for a period of twelve months from the date of purchase.
10. Licence of User IP. The User grants to The GrantEd Group a non-exclusive, perpetual, royalty free licence to use and alter the User IP in the course of The GrantEd Group’s business solely for the purposes for which it was developed or provided to The GrantEd Group.
11. IP Warranty and Indemnity. The User warrants that use of the User IP in accordance with the User’s directions will not infringe the Intellectual Property of any person or infringe any other rights or laws. The User indemnifies The GrantEd Group against any liability, loss, damage, costs or expenses incurred by The GrantEd Group in connection with a claim by a third party of breach of this warranty.
12. IP retention and use. At no time during or after the termination of this Agreement shall the User make any claim to the acquisition of the ownership of any of the intellectual property rights of or use any of the intellectual property of The GrantEd Group other than as allowed by The GrantEd Group pursuant to this Agreement.
13. User Warranty. As a User you warrant that you are not an agent or employee of any other grant review company or agency and the Site and Materials solely for the purpose of your own use.
14. Hyperlinks. Links to external websites are provided solely as a convenience to you. The GrantEd Group has not reviewed all of these external websites, does not control and is not responsible for any of these sites or their content. If you decide to access any of the external websites linked to this Site, you do so entirely at your own risk.
15. No Warranty. The Materials provided at this site are provided “as is” without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. The GrantEd Group further does not warrant the accuracy and completeness of the Materials at this Site. The GrantEd Group may make changes to the Materials at this Site, or to the services and prices described in them, at any time without notice. The Materials at this Site may be out of date, and The GrantEd Group. makes no commitment to update the Materials at this Site.
16. Confidentiality. The User and The GrantEd Group agree:
- to keep the Confidential Information of the discloser secret, and not permit its disclosure to any person, except to employees, officers, contractors, agents or advisers of the recipient who require access for purposes of or relating to performing the Services and who are informed of and comply with the same obligations of confidentiality regarding that information; and
- to only use the Confidential Information of the discloser for the purposes of the Services.
17. Relationship. The GrantEd Group is an independent supplier of products and services to the User and not an agent, employee or joint venturer of the User. The User acknowledges that The Granted Group while taking due care and attention provides services which are advisory and supportive only and that the User bears the sole responsibility for the use and implementation of these services in User’s business. The User also agrees to forever indemnify and hold harmless The Granted Group and its shareholders, directors, officers, employees and contractors from and against any loss, cost, expense or damage whatsoever resulting from the activities of the User and related to the subject matter of any agreement between the parties. While The Granted Group will be providing the User with guidance, support and materials per the Agreed terms, the User acknowledges that it is solely and primarily accountable for any associated or consequential contracts, activity, losses, or liabilities.
18. Governing Law. These terms and the Services are governed by the law in force in Victoria, Australia.
19. Interpretation. The following words have these meanings in these terms:
Confidential Information means any information relating to or disclosed in the course of performance of the Services that is in fact, is reasonably regarded as, or is marked as, confidential or proprietary to the disclosing party. Confidential Information does not include: information already in the public domain other than as a result of a breach of any obligation of confidentiality; or information that is lawfully received from a third party, or is independently developed, by the recipient free of any obligation of confidence.
20. Definitions.
User IP means all Intellectual Property which came into existence other than as a result of the provision of the Services and which is owned by or licensed to the User and provided to The GrantEd Group for use in provision of the Services.
Developed IP means any Intellectual Property created or developed in the performance of the Services.
The GrantEd Group IP means all Intellectual Property which came into existence other than as a result of the provision of the Services and which is owned by or licensed to The GrantEd Group and provided to the User for use in relation to the Services.
Intellectual Property means all present and future rights throughout the world (including rights of registration) in and to copyright, inventions, patents, registered and unregistered trademarks, registered and unregistered designs, circuit layouts, trade secrets and confidential information and all other intellectual and industrial property rights.
Privacy Law means the provisions of the Privacy Act (Cth) 1998 and all other applicable laws relating to privacy.
Services means services provided or to be provided by The GrantEd Group to the User or on the User’s behalf.
21. Effective Date and Updates. The Terms are effective as July 2020 and are subject to change without notice The GrantEd Group at any time. Please check for changes regularly. Your use of this Site after such changes constitutes your agreement to such changes.
